1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "User," or "you") and Farhan Logistics International Ltd. ("Company," "we," "us," or "our"). By accessing our website (www.farhancargobd.com) and using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the website. Your continued use of our services constitutes acceptance of the modified Terms.

2. Services Description

Farhan Logistics International Ltd. provides comprehensive logistics and freight services including but not limited to:

  • Sea Freight Services
  • Air Freight Services
  • Road Transport
  • Warehousing Solutions
  • Customs Clearance
  • International Shipment Management

Service specifications, rates, and delivery times are subject to change based on market conditions, shipping routes, and regulatory requirements.

3. Quotations and Bookings

  • Quotations: All quotations provided are estimates and subject to verification of shipment details, current market rates, and carrier availability.
  • Validity: Quotations are valid for 30 days unless otherwise specified.
  • Confirmation: Bookings are confirmed only after written acceptance and receipt of initial payment or deposit as agreed.
  • Rate Changes: Fuel surcharges, security surcharges, and other variable costs may be subject to market-based adjustments.
  • Payment Terms: Payment terms are as specified in the quotation or invoice. Non-payment may result in shipment hold or cancellation.

4. Client Responsibilities

As our client, you agree to:

  • Accurate Information: Provide accurate and complete information regarding shipment contents, dimensions, weight, and destination.
  • Legal Compliance: Ensure that all shipment contents comply with local, national, and international laws and regulations.
  • Prohibited Items: Not ship items that are prohibited, hazardous (unless properly declared and packed), or illegal.
  • Documentation: Prepare and provide all necessary documentation including invoices, packing lists, certificates of origin, and customs declarations.
  • Timely Notification: Notify us of any changes to shipment details or delivery requirements in advance.
  • Packaging: Ensure proper packaging to prevent damage during transit. We are not responsible for damage resulting from inadequate packaging.

5. Liability and Limitations

  • Limited Liability: Our liability for loss, damage, or delay of shipments is limited to the lesser of: (a) the actual invoice value, or (b) the declared value at time of shipment.
  • Liability Exclusions: We are not liable for:
    • Damage caused by client-provided defective packaging
    • Loss or damage due to acts of God or force majeure
    • Losses due to incorrect shipping instructions
    • Consequential, indirect, or punitive damages
    • Delays caused by weather, strikes, or carrier actions beyond our control
  • Claims: Claims for loss or damage must be reported within 30 days of delivery or expected delivery date.
  • Insurance: We recommend shipping valuable items with insurance. Insurance options are available upon request.

6. Payment Terms

  • Invoice Payment: Full payment is due upon invoice unless credit terms have been pre-arranged in writing.
  • Accepted Methods: We accept bank transfers, credit cards, and other payment methods as specified on invoices.
  • Late Payments: Late payments may incur interest charges at 1.5% per month or as legally permissible.
  • Deposit Requirements: A deposit or full payment may be required before shipment processing.
  • Currency: All prices are quoted in USD or as otherwise specified. Exchange rates at time of payment apply.
  • Non-Refundable Services: Processing fees and service charges are generally non-refundable once services have commenced.

7. Delivery and Risk

  • Delivery Timeframes: Estimated delivery times are provided as guides only. We cannot guarantee delivery by specific dates.
  • Risk of Loss: Risk of loss or damage passes to the client upon shipment unless otherwise agreed in writing.
  • Delivery Attempts: We make reasonable efforts to deliver shipments. Unclaimed shipments may be returned at the client's expense.
  • Receiver Authority: Delivery to authorized recipients confirms successful delivery. We are not responsible for items handed to recipients.
  • Delays: We are not liable for delays caused by customs clearance, border issues, weather, or carrier actions.

8. Customs and Duties

  • Client Responsibility: The client is responsible for all customs duties, taxes, and import/export fees.
  • Customs Documentation: We assist in preparing customs documentation, but the client is responsible for accuracy.
  • Compliance: The client confirms that all shipments comply with import/export regulations of all countries involved.
  • Customs Delays: We are not liable for delays caused by customs inspections or clearance processes.

9. Intellectual Property

All content on our website, including logos, text, images, and graphics, is owned by Farhan Logistics International Ltd. or its content providers. You may not reproduce, distribute, or transmit any content without written permission. Unauthorized use may result in legal action.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FARHAN LOGISTICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CLIENT IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Force Majeure

We are not liable for failure to perform services due to events beyond our reasonable control, including but not limited to: natural disasters, wars, pandemics, government actions, carrier strikes, or extreme weather. We will provide notice of such events and update timelines as appropriate.

12. Confidentiality

Both parties agree to maintain confidentiality of proprietary business information shared during the course of our relationship, except as required by law or for legitimate business operations.

13. Termination

We reserve the right to refuse service or terminate our relationship with any client who:

  • Violates these Terms and Conditions
  • Ships prohibited or illegal items
  • Fails to pay invoices in a timely manner
  • Engages in fraudulent activities
  • Violates applicable laws and regulations

14. Dispute Resolution

  • Governing Law: These Terms are governed by the laws of Bangladesh and shall be interpreted accordingly.
  • Jurisdiction: Any disputes shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
  • Mediation: Before pursuing legal action, parties agree to attempt resolution through good-faith negotiation.

16. Entire Agreement

These Terms and Conditions, together with any other written agreements between you and Farhan Logistics, constitute the entire agreement and supersede all prior negotiations, representations, and agreements. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full effect.
